End User License Agreement

Last modified: October 15, 2026

This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between you, whether an individual or an entity on whose behalf you are acting (“Customer”), and Lionic Corporation (“Lionic”). This Agreement governs your use of Lionic’s network security products as described below.

For purposes of this Agreement, the applicable network security product provided by Lionic (the “Product”) consists of the following components: (a) the physical network security appliance (the “Hardware”); (b) the firmware and software provided with, embedded in, or otherwise made available for use with the Hardware (the “Software”); and (c) the subscription-based services associated with the Product, as further described in this Agreement (the “Subscription Services”).

BY INSTALLING, ACTIVATING, ACCESSING, OR OTHERWISE USING THE PRODUCT, CUSTOMER ACKNOWLEDGES THAT CUSTOMER HAS READ, UNDERSTOOD, AND AGREES TO BE BOUND BY THIS AGREEMENT. If an individual accepts this Agreement or uses the Product on behalf of an entity, that individual represents and warrants that they are authorized to accept this Agreement and bind that entity to its terms.

IF CUSTOMER DOES NOT AGREE TO THIS AGREEMENT, CUSTOMER IS NOT AUTHORIZED TO INSTALL, ACTIVATE, ACCESS, OR USE THE PRODUCT. IF CUSTOMER CEASES TO AGREE TO THIS AGREEMENT, CUSTOMER MUST IMMEDIATELY CEASE ALL USE OF THE PRODUCT.

1. LICENSE GRANT

Subject to the terms of this Agreement, Lionic grants Customer a non-exclusive, perpetual license to use the Software solely with the Hardware provided as part of the Product.

The Software is licensed, not sold. Except for the rights expressly granted under this Agreement, Customer receives no rights in or to the Software, including any ownership or other intellectual property rights.

Certain features, services, firmware updates, and security signature updates may require a valid and activated subscription. The applicable subscription rights, activation requirements, subscription term, and availability of such features and services are described in Section 3 (Activation and License Term).

Software that is subject to separate third-party or open-source license terms is governed by those terms to the extent applicable, as further described in Section 8 (Third-Party / Open Source Software).

Except for the rights expressly granted under this Agreement, Lionic reserves all rights in and to the Software.

2. USE RESTRICTIONS

Except as expressly permitted by this Agreement, applicable Documentation, or a separate written agreement with Lionic, Customer shall not, and shall not permit or authorize any third party to:

(a) reverse engineer, decompile, disassemble, decipher, or otherwise attempt to derive or discover the source code, underlying ideas, algorithms, structure, or other non-public aspects of the Software, except to the extent that such restriction is prohibited by applicable law;

(b) modify, adapt, translate, alter, or create derivative works of the Software or any component thereof, except for configuration or other use expressly supported by the Product and Documentation;

(c) copy, reproduce, or duplicate the Software or any portion thereof, except as expressly permitted under applicable third-party or open-source license terms;

(d) separate, extract, or isolate any Software, security engine, signature database, or other component incorporated into or provided with the Product for use independently from the Product;

(e) circumvent, disable, defeat, bypass, or otherwise interfere with any activation mechanism, subscription control, license key, usage limitation, technical restriction, or other mechanism used to control or enforce the authorized use of the Product, Software, or Subscription Services;

(f) rebrand, relabel, or represent the Product, Software, or any component thereof as a product of Customer or any third party, or remove or replace Lionic’s product identity for the purpose of marketing or commercializing the Product under another name or brand, except pursuant to an applicable OEM, private-label, or other written agreement with Lionic;

(g) remove, conceal, alter, or obscure any copyright notice, proprietary notice, trademark, product identification, licensing notice, regulatory label, or other notice contained on or in the Product, Software, Documentation, or related materials, except as expressly permitted by Lionic or applicable law;

(h) conduct or attempt to conduct penetration testing, vulnerability testing, load testing, stress testing, fuzzing, scanning, or other security testing against Lionic’s or its service providers’ systems, networks, infrastructure, cloud services, update services, activation or licensing services, or other Vendor Services without Lionic’s prior authorization;

(i) use the Product to obtain unauthorized access to, interfere with, disrupt, impair, damage, or impose an unreasonable or excessive burden on any network, computer system, device, service, or data that Customer is not authorized to access or affect, or to interfere with the operation or availability of such systems or services;

(j) use the Product for any purpose that violates applicable laws or regulations, or to facilitate or support unlawful activities;

(k) use the Product in connection with organized crime, criminal organizations, or other anti-social forces, or provide or facilitate the provision of funds, benefits, services, or other assistance to such persons or organizations;

(l) use the Product in any safety-critical application in which failure, malfunction, interruption, or degradation of the Product could reasonably be expected to result in death, personal injury, or significant physical or property damage, including applications in which the Product is relied upon as a safety-critical control or protection component; or

(m) tamper with, alter, modify, bypass, or interfere with the Hardware in a manner that defeats or circumvents its security, licensing, authentication, access-control, or other technical mechanisms, or that materially alters its intended operation.

3. ACTIVATION AND SUBSCRIPTION TERM

3.1 Activation

An Activation Key is required to initially activate the Product. Each Activation Key may be used to activate one (1) Product device. An unused Activation Key does not expire solely due to the passage of time, subject to the applicable Product Lifecycle Policy.

Upon activation, the applicable Subscription is associated with the Product device. Each Product device may be initially activated only once. Activation is permanent and is not reversed by expiration of the Subscription.

3.2 Subscription Term

Each activated Product is entitled to one (1) Subscription for the applicable Subscription Term. The Subscription is device-based and applies to the Subscription Services provided for that Product.

The Subscription Term commences upon activation of the Product using an applicable Activation Key and continues for the period specified for that Activation Key. The purchase, delivery, or possession of an unused Activation Key does not commence or reduce the Subscription Term.

3.3 Subscription Services

During the Subscription Term, the Product is entitled to receive the Subscription Services applicable to the Subscription. Subscription Services may include:

(a) security and content updates;

(b) firmware updates; and

(c) cloud-based services.

The Subscription Services constitute a single Subscription entitlement. No separate license or subscription is granted for any individual Subscription Service unless otherwise expressly stated in the applicable ordering documentation.

Subscription Services are provided only during the applicable Subscription Term and are subject to this Agreement and the applicable Product Lifecycle Policy.

3.4 Subscription Expiration

The Subscription expires automatically upon expiration of the applicable Subscription Term unless renewed in accordance with Section 3.5.

Upon expiration of the Subscription, the Product is no longer entitled to receive Subscription Services. Security and content updates, firmware updates, and cloud-based Subscription Services will no longer be provided or available.

Expiration of the Subscription does not terminate, suspend, or otherwise affect the Software License. The Software License is perpetual unless otherwise terminated in accordance with this Agreement. Accordingly, expiration of the Subscription does not, by itself, require the Customer to cease using, return, destroy, or remove the Product from service.

Following expiration of the Subscription, the Customer may continue to use the Product under the Software License using the Software and security or content information then installed on the Product, subject to this Agreement. Continued use following Subscription expiration does not confer any entitlement to Subscription Services or to updates that are provided only during an active Subscription Term.

3.5 Renewal

A Renew Key may be used to renew or reactivate the Subscription of an activated Product. Each Renew Key may be used once and for one (1) Product device. Multiple Renew Keys may be applied to the same Product device.

If a Renew Key is applied before expiration of the current Subscription Term, the renewal period will be added to the then-current expiration date. The remaining portion of the current Subscription Term will not be forfeited.

If a Renew Key is applied after expiration of the Subscription, the renewed Subscription Term will commence on the date the Renew Key is applied. No Subscription Services will be provided for the period between expiration of the previous Subscription Term and application of the Renew Key.

Upon successful renewal, the Product will again be entitled to the applicable Subscription Services for the renewed Subscription Term. Renewal does not reset, reverse, or otherwise modify the Product’s permanent activation status.

3.6 Product Lifecycle

The availability of the Product and Subscription Services is subject to the applicable Product Lifecycle Policy. The Product Lifecycle Policy may specify product end-of-service dates or other lifecycle limitations applicable to the Product or Subscription Services and is incorporated into this Agreement by reference.

4. TERMINATION

Lionic may terminate this Agreement immediately if Customer: (i) materially breach any term or condition of this Agreement, including any applicable license restriction; (ii) engage in any conduct that creates a material security or compliance risk in connection with the Product; or (iii) continue to use the Product where such use is prohibited by applicable law or governmental order.

Upon termination of this Agreement, all rights granted to Customer under this Agreement immediately terminate, and Customer must cease all use of the Product.

Termination of this Agreement does not affect any rights or obligations that, by their nature or express terms, are intended to survive termination.

5. INTELLECTUAL PROPERTY

All right, title, and interest in and to the Product, including the Hardware, the Software, security signatures and other security information provided through the Subscription Services, and all intellectual property rights therein, shall remain with Lionic, except for any components or materials owned by third parties, which shall remain the property of their respective owners.

The Software and the Subscription Services are licensed, not sold. No ownership or other intellectual property rights in or to the Software or the Subscription Services are transferred to Customer, except for the limited rights expressly granted under this Agreement.

To the extent any component or material provided with or for use with the Product is subject to rights owned by a third party or governed by separate license terms, such rights and terms shall remain applicable.

6. LIMITED WARRANTY

6.1 Hardware Limited Warranty

Lionic warrants that the Hardware will be free from defects in materials and workmanship under normal use and in accordance with the applicable Documentation for one (1) year from the date the Hardware is first sold to Customer for its own final use.

The warranty period is determined by the applicable sale date, as evidenced by proof of purchase or other information reasonably acceptable to Lionic. Activation, registration, installation, or first use does not extend or restart the warranty period. This warranty is non-transferable to any subsequent owner.

Additional or extended warranty coverage may be available separately.

6.2 Software Limited Warranty

Lionic warrants that the Software will, for ninety (90) days from the commencement date of the Hardware warranty under Section 6.1, substantially perform in accordance with the applicable Documentation when used as permitted under this Agreement.

This warranty applies only to material failures of the Software to substantially conform to the applicable Documentation.

6.3 Warranty Exclusions

The warranties above do not cover defects or damage caused by accident, abuse, misuse, neglect, improper handling, unauthorized repair, maintenance, modification or alteration, improper installation or operating conditions, use contrary to the Documentation or specifications, unauthorized hardware, software, firmware, accessories or third-party products or services, acts or omissions of Customer or third parties, or external causes such as electrical failure, fire, water, or other causes not attributable to a defect in the Product as supplied by Lionic.

These exclusions apply only to the extent that the applicable condition or event caused or contributed to the claimed defect or damage.

6.4 Warranty Claims and Remedies

Customer must notify Lionic of a suspected warranty defect during the applicable warranty period and provide reasonable information and cooperation necessary to evaluate the claim.

For a valid warranty claim, Lionic may, at its option, repair or replace the affected Hardware or correct or replace the affected Software. Replacement Hardware may be a substantially equivalent or successor product if the original Product is unavailable.

If Lionic determines that repair or replacement is not reasonably practicable, Lionic may provide a refund of the applicable amount paid for the affected Product. Any refund will not include amounts attributable to license or subscription periods that have been used, expired, or otherwise consumed.

Upon refund, the applicable license and this Agreement will terminate with respect to the affected Product, and Customer must cease use and return the Hardware to Lionic.

6.5 Replacement Warranty and Product Availability

Replacement Hardware is covered for the longer of the remainder of the original Hardware warranty period or ninety (90) days from delivery of the replacement.

Warranty repair or replacement is subject to Lionic’s applicable Product Lifecycle Policy and product availability. If the original Hardware is no longer available, Lionic may provide a substantially equivalent or successor product.

6.6 Applicable Law

Nothing in this Section limits or excludes any warranty, right, remedy, or protection that cannot lawfully be excluded or limited under applicable law.

7. WARRANTY DISCLAIMER

Except for the express limited warranties expressly provided in this Agreement, the Product and any related services are provided “AS IS” and “AS AVAILABLE” to the maximum extent permitted by applicable law. Lionic disclaims all other warranties, conditions, representations, and undertakings, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranties arising from course of dealing or usage of trade.

Lionic does not warrant that the Product or any related services will meet Customer’s requirements, operate without interruption or error, or that defects will be corrected. Lionic does not warrant that the Product or its security functions will provide complete or uninterrupted protection against all threats, attacks, malicious or unwanted applications, or other security risks.

Without limiting the foregoing, Lionic does not warrant the accuracy, completeness, or reliability of security signatures, security intelligence, application identification, category classification, behavior classification, device identification, or other detection or classification results. The Product may generate false positive or false negative results, including failing to detect, identify, classify, block, or otherwise respond to a threat or activity, or incorrectly identifying or blocking legitimate activity.

Certain features and functions of the Product may depend on an active subscription. Upon expiration or termination of the applicable subscription, such features or functions may become unavailable, while the perpetual license and other functionality of the Product may continue subject to this Agreement. The Product may continue to operate using the latest available security signatures or other security information, but Lionic does not warrant the continued availability, timeliness, accuracy, completeness, or effectiveness of security signatures, security intelligence, firmware, updates, or other security content after Subscription Services expiration.

Software, security content, and other updates may be unavailable at any particular time, may not be provided for every Product or configuration, and may change, modify, or discontinue certain features or functions. Lionic does not warrant that any update will be compatible with Customer’s environment, configuration, hardware, software, network, or other systems.

Any stated or published performance, capacity, throughput, or other Product specification describes Product characteristics under the conditions specified by Lionic and does not constitute a warranty that the Product will achieve the same results in every environment, configuration, workload, or deployment.

Customer is responsible for maintaining appropriate backups and protecting data stored on or processed through the Product. Lionic does not warrant that configurations, logs, or other data stored on the Product will not be lost, corrupted, or otherwise affected, including as a result of Hardware failure.

To the extent any warranty or condition cannot be excluded under applicable law, such warranty or condition is limited to the minimum scope and duration permitted by applicable law.

8. THIRD-PARTY / OPEN SOURCE

The Software may contain or be provided with open source software, third-party software, databases, data, or other technology (“Third-Party Materials”) that are subject to separate license terms. Customer’s use of such Third-Party Materials is subject to the applicable license terms, which may grant additional rights or impose additional restrictions. To the extent required by applicable open source licenses, such license terms will prevail over this Agreement with respect to the applicable open source software. Applicable third-party and open source notices and license terms may be provided in the Software, Documentation, or through a designated notice location.

Third-Party Materials are provided subject to their applicable license terms. Nothing in this Agreement limits any rights granted to Customer under applicable open source licenses.

9. LIMITATION OF LIABILITY

9.1 EXCLUSION OF CERTAIN DAMAGES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LIONIC OR ITS AFFILIATES, LICENSORS, SUPPLIERS, DISTRIBUTORS, OR RESELLERS (COLLECTIVELY, THE “COMPANY PARTIES”) BE LIABLE TO CUSTOMER OR ANY THIRD PARTY FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF BUSINESS, LOSS OF GOODWILL, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF OPPORTUNITY, LOSS OF ANTICIPATED SAVINGS, LOSS OF CONTRACTS, BUSINESS INTERRUPTION, WORK STOPPAGE, LOSS OF USE, FAILURE OR MALFUNCTION OF THE PRODUCT, COMPUTER SYSTEMS, DEVICES, EQUIPMENT, OR NETWORKS, DAMAGE TO TANGIBLE OR REAL PROPERTY, LOSS OR DESTRUCTION OF DATA OR INFORMATION, DATA CORRUPTION, DATA RECOVERY OR RESTORATION COSTS, LOSS OR DAMAGE ARISING FROM OR RELATING TO ANY SECURITY BREACH, UNAUTHORIZED ACCESS, CYBERATTACK, MALWARE, VIRUS, RANSOMWARE, OR OTHER MALICIOUS CODE, LOSS OR COMPROMISE OF CREDENTIALS OR CONFIDENTIAL INFORMATION, COSTS OF PROCURING SUBSTITUTE PRODUCTS, SERVICES, SOFTWARE, OR TECHNOLOGY, OR INSTALLATION, DE-INSTALLATION, REPLACEMENT, OR RECONFIGURATION COSTS, IN EACH CASE ARISING OUT OF OR RELATING TO THE PRODUCT, THIS AGREEMENT, OR ANY RELATED SERVICES, REGARDLESS OF THE FORM OR THEORY OF LIABILITY, WHETHER BASED ON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE, AND EVEN IF LIONIC OR ANY COMPANY PARTY HAS BEEN ADVISED OF, KNEW, OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES.

9.2 MAXIMUM LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY PARTIES ARISING OUT OF OR RELATING TO THE PRODUCT, THIS AGREEMENT, OR ANY RELATED SERVICES, WHETHER ARISING IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY RECEIVED BY LIONIC FROM CUSTOMER FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM, INCLUDING THE PURCHASE PRICE ACTUALLY RECEIVED FOR THE APPLICABLE HARDWARE AND ANY LICENSE OR SUBSCRIPTION FEES ACTUALLY RECEIVED FOR SUCH PRODUCT. AMOUNTS INVOICED, ACCRUED, OR OTHERWISE PAYABLE BUT NOT ACTUALLY RECEIVED BY LIONIC SHALL NOT BE INCLUDED IN CALCULATING SUCH LIMITATION.

9.3 Exceptions

Nothing in this Agreement shall exclude or limit either party’s liability to the extent that such liability cannot be excluded or limited under applicable law. The exclusions and limitation of liability set forth in Sections 9.1 and 9.2 shall not apply to liability arising from Lionic’s willful misconduct, fraud or fraudulent misrepresentation, or gross negligence.

10. GENERAL PROVISIONS

(a) Conflicting Terms. This Agreement governs the use of the Product, including the Hardware, the Software, and the Subscription Services. Any additional or conflicting terms contained in a purchase order, order form, quotation, acknowledgment, or other purchasing document will not modify or supersede this Agreement, unless expressly agreed in a separate written agreement signed by authorized representatives of the parties. Any separate written agreement between the parties that expressly governs the Product, Software, or Subscription Services will prevail over this Agreement only to the extent of the conflict and only if it expressly states that it supersedes or modifies this Agreement.

(b) Assignment. Customer may not assign or transfer this Agreement, in whole or in part, without Lionic’s prior written consent. Lionic may assign or transfer this Agreement, in whole or in part, to an affiliate or in connection with a merger, acquisition, reorganization, or sale of all or substantially all of the business or assets relating to the Product.

(c) Amendment. Lionic may update this Agreement from time to time by publishing a revised version on its website. The revised Agreement will identify its effective date and will apply to purchases, activations, renewals, or other transactions occurring on or after that date, unless otherwise required by applicable law. Lionic may also update this Agreement when necessary to reflect changes in applicable laws, regulations, security requirements, technology, Products, or services. No amendment to this Agreement will retroactively revoke a perpetual license already granted to Customer, except where required by applicable law.

(d) Waiver and Severability. Lionic’s failure to enforce any provision of this Agreement will not constitute a waiver of that provision or of Lionic’s right to enforce it later. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law, and the remaining provisions will remain in full force and effect.

(e) Survival. Provisions that by their nature are intended to continue after termination of this Agreement will survive termination. Without limiting the foregoing, Sections 2 (Use Restrictions), 5 (Intellectual Property), 8 (Third-Party / Open Source), 9 (Limitation of Liability), and the applicable provisions of this Section 10 will survive termination, together with any rights or obligations that accrued before termination.

(f) Independent Contractors; No Agency. The parties are independent contractors. Nothing in this Agreement creates or will be construed to create a partnership, joint venture, employment, franchise, fiduciary, or agency relationship between the parties. Neither party has authority to bind the other or make any commitment on the other’s behalf unless expressly authorized in writing.

(g) Partner and Reseller Authority. Distributors, resellers, system integrators, service providers, and other channel partners are independent parties and are not authorized to modify this Agreement or make representations, warranties, or commitments on Lionic’s behalf unless expressly authorized in writing. Any commercial terms agreed between Customer and a channel partner do not modify this Agreement unless expressly agreed by us in writing.

(h) Third-Party Rights. Except as expressly provided in Section 8 (Third-Party / Open Source), this Agreement does not create any right or remedy for any person or entity that is not a party to this Agreement.

(i) Electronic Acceptance and Counterparts. Customer’s electronic acceptance of this Agreement, including through a click-through mechanism, activation process, or other electronic means, will have the same effect as a written signature to the extent permitted by applicable law. Where the parties execute this Agreement or a related agreement in separate counterparts, each counterpart will be deemed an original and all counterparts together will constitute one agreement.

(j) Cumulative Remedies. Except as otherwise expressly provided in this Agreement, the rights and remedies available to either party under this Agreement are cumulative and are in addition to any other rights and remedies available under applicable law.

(k) Force Majeure. Neither party will be liable for any delay or failure to perform its obligations under this Agreement to the extent caused by events beyond its reasonable control, including natural disasters, epidemic or pandemic, fire, flood, earthquake, power or telecommunications failure, labor dispute, strike, lockout, civil unrest, terrorism, war, armed conflict, government action, embargo, trade restriction, transportation or supply disruption, or other similar events beyond the reasonable control of the affected party. The affected party will use reasonable efforts to resume performance as soon as reasonably practicable.

(l) Entire Agreement. This Agreement, together with any documents expressly incorporated by reference, constitutes the entire agreement between the parties concerning the Product, Software, and Subscription Services and supersedes all prior or contemporaneous agreements, communications, representations, and understandings concerning those matters. This Section does not affect any separate written agreement that expressly governs the Product, Software, or Subscription Services and is signed by authorized representatives of the parties, subject to Section 10(a) (Conflicting Terms).

11. PRIVACY

Customer acknowledges and agrees that the use of the Products and Services may involve the collection, use, processing, transmission, and storage of information in connection with the operation and functionality of the Products and Services. Such information may be processed through Lionic’s cloud services and, where enabled or configured by Customer, through the Central Management System. Lionic may process such information for the purposes of providing, operating, securing, maintaining, supporting, improving, and developing the Products and Services.

The collection, use, processing, protection, and other handling of information in connection with the Products and Services are subject to Lionic’s Privacy Policy, available at https://www.lionic.com/company/privacy-policy/.
